this agreement is made and entered into as of the ○○day of ○○, 20○○, by and between (name of the domestic investor) (hereinafter r
eferred to as “x”) duly organized and existing under the laws of the republic of korea(hereinafter referred to as “korea”), with its main office at(address of domestic investor), and (name of the foreign investor) (hereinafter referred to as “y”) duly organized and existing under the laws of the (nationality of foreign investor), with its main office at (address of the foreign investor).
witnesseth：
whereas, x is engaged in the business of ○○○in korea ;
whereas, y is engaged in the business of ○○○in (nation of the foreign investor) ;
whereas, x and y desire to establish a new joint venture company in korea for the purpose of ○○○;
now, therefore, in consideration of the premises and mutual covenants herein sef forth, x and y agree as follow ;
article 1.formation of new compan1.1 the parties, immediately upon the effectuation of this agreement, shall form and establish a
company, which will be jointly owned and managed by the parties hereto (hereinafter referred to as the “new company”), pursuant to the laws of korea.
1.2 the name of new company shall be ○○○ chusik hoesa, in korean, and ○○○○ in english.
.3 the head office of the new company shall be located at korea ; branches and other business offices, etc., may be established anwhere within or outside korea, as required.
1.4 the parties hereto shall consult and cooperate with each other as to the procedures and particulars of the establishment and r
egistration of the new company.
-formal name, address, law governing incorporation and date of execution shall be inserted here.
-while the foreign and domestic investor may be natural persons, the enterprise to be established must be a corporation.
-this clause may be omitted.however, this clause is customarily included in common law jurisdiction.
-this is the most standard form used for the incorporation of a chusik hoesa.
